The primary purpose of the Union Home LLC’s Internet Minimum Advertised Price(IMAP) Policy is to safeguard Union Home LLC’s products as a recognized supplier of high quality designer furniture & home décor brand. An Advertised Price below the IMAP significantly harms Union Home LLC’s brand value and consumer perception of the same. In today’s extremely competitive furniture and home décor market, Union Home LLC works with retailers that take cognizance of investing in Union Home LLC’s product promotion and advertising.

1. The IMAP policy of Union Home LLC determines that Union Home LLC products shall not be advertised on the Internet below the applicable Union Home LLC IMAP as stated in the designated IMAP price list for the products.
   
   
2. The term Advertising/Advertise stated in the Policy stands for published price on the internet, including but not limited to:
   • Online ecommerce platforms, website visible & accessible to the public, shopping sites, auction sites, vendors selling online, traditional retailers with online retail presence & links to webpages with shopping cart;
   • Sponsored website links in the form of pop ups or banners, including links sent via email associated with a website.
   • “Apply coupon in cart”, or “add to cart for lowest price”, “click for price” or any other means that direct a person to add a product to cart for a price lower than IMAP.
   • Furthermore, it shall include any form of publication that can be reasonably interpreted to imply a pricing below the applicable Union Home LLC IMAP.
   
   
3. The IMAP policy shall be applicable to all Retailers carrying or selling Union Home LLC products, irrespective whether the products are white labeled or not.
   
   
4. The IMAP policy is not applicable advertising using non internet mediums, including but not limited to print, newspaper, magazines, flyers & faxes.
   
   
5. Non-compliance with the IMAP Policy shall result in violation, that is, a Retailer’s Internet Advertised Price is below the Union Home LLC IMAP for a particular product. The following steps shall be undertaken by Union Home LLC against a violator:
   • First transgression: The violating party shall be sent a notice via email by Union Home LLC to rectify the violation, that is, changing the price/s to Union Home IMAP. The rectification shall be made by the violating party within the prescribed period of 48 hours. The violating party shall send a proof of correction by sending link/s to Union Home LLC.
   • Second Transgression: In the event of a second violation by a party, a notice via email shall be sent to the violating party for the same & rectifications shall be made within 48 hours from when the email was sent. In the event of failure to rectify within the abovementioned stipulated time frame, Union Home LLC shall resort to holding orders of the Retailer or cancellation of open orders. Proof of correction shall be shared by Retailer with Union Home LLC in the form of a link.
   • Third Transgression: In the event of the third violation by a violating party, Union Home LLC shall send a notice via outlining consistent violations. Moreover, Union Home LLC shall resort strict action, that is, termination of relationship with the violating party.
   • All the abovementioned transgressions shall to dealt with on a case to case basis taking into account material fact and circumstances of the situation in hand. The Retailers shall be given 48 hours for correction of any IMAP violations.
   
   
6. Exceptions to the IMAP policy:
   • Union Home LLC authorized closeout for the overstock or discontinued products.
   • Union Home LLC authorized promotions and discounts for specified durations.
   
   
7. This IMAP Policy is unilaterally established by Union Home LLC which means that it is one-sided and independent on the part of Union Home LLC and that there is and will be no agreement between a retailer and Union Home LLC with regard to it.
